Terms and Conditions — Engine Stack

These Terms and Conditions (“Terms”) form a binding agreement between you and PT Engine Stack Teknologi (“Engine Stack,” “we,” “us,” or “our”). By accessing or using our services, you confirm that you have read, understood, and agreed to these Terms. If you use the services on behalf of an organization, you confirm you have authority to bind that organization.

Services

Engine Stack provides an AI-powered sales and support agent platform for automating inbound and outbound prospecting, lead nurturing, and customer follow-up across supported messaging channels. Services include AI Sales Agents, contact verification, campaign management, workflow automation, analytics, integrations, and implementation support. The scope, features, usage limits, and fees are as described in your selected plan at the time of purchase, as published on our website. Fees are subject to change in accordance with Section 17.

Eligibility and Account Responsibility

You must have legal capacity to enter into these Terms. You are responsible for the accuracy of information you provide, the confidentiality of your credentials, and all activity on your account. Notify us promptly at support@enginestack.ai of any suspected unauthorized access.

Fees, Billing, and Taxes

Subscription fees are billed monthly through our payment infrastructure, either automatically at the start of each cycle or via invoice. All fees paid are final and non-refundable under any circumstances, including for unused time, unused credits, downgrades, or cancellation before the end of a billing period. Failed or late payments may result in immediate suspension, which does not waive amounts owed. Outstanding balances must be cleared before access is restored. Fees exclude taxes; you are responsible for all taxes applicable under the laws of your jurisdiction other than taxes on our net income.

Refund

Engine Stack does not provide refunds. All payments — including for subscriptions, credits, add-ons, overages, and Done-For-You (“DFY”) engagements — are non-refundable and non-creditable regardless of usage, and no partial, pro-rata, or goodwill refunds are given on cancellation, downgrade, suspension, or termination. This applies notwithstanding anything to the contrary in any order form, statement of work, or separately signed agreement.

Acceptable Use

You may not use Engine Stack to violate applicable law, send unsolicited or deceptive communications, contact individuals without a lawful basis, violate third-party platform terms, infringe any party’s rights, distribute malware, bypass security or usage limits, or impersonate Engine Stack or its personnel. You are solely responsible for ensuring your outreach, contact data, consent practices, and messages comply with all applicable laws and platform policies in every jurisdiction where you operate.

In addition, you may not use the AI Avatar service to: impersonate any individual without their explicit, verifiable consent; create sexually explicit, defamatory, or harassing content; generate content intended to deceive viewers about the authenticity of the speaker, including for fraud, misinformation, or political manipulation; or violate any applicable law or platform policy requiring disclosure of AI-generated or AI-altered content.

Customer Data and Instructions

You retain ownership of all data, contact lists, and content you provide. You grant Engine Stack the limited rights necessary to host, process, and use that material to deliver and improve the services. You confirm you have the rights and lawful basis to provide and process that data through our platform.

Before submitting any image, video, voice, or biometric data to create an AI Avatar, you represent and warrant that you have obtained all consents, releases, and legal rights necessary from every individual depicted or represented — including employees, contractors, spokespeople, or yourself — to use their likeness for this purpose. You are solely responsible for verifying and retaining evidence of this consent, and Engine Stack bears no responsibility for verifying the authenticity or scope of any consent you provide.

You grant Engine Stack a limited, non-exclusive license to process, store, and use submitted image, video, and voice data solely to generate, host, and deliver the AI Avatar output requested. This license does not extend to any other use of that data without a separate written agreement.

Data Security

Engine Stack maintains an information security program aligned with recognized industry standards, including encryption of data in transit and at rest, least-privilege access controls with mandatory MFA, audit logging, continuous monitoring, and a documented incident response process. We will notify you within a reasonable time of any data breach affecting your account, and a Data Processing Agreement is available on request. Requests to delete personal data, including AI Avatar source materials and generated avatar models, are handled as described in our Privacy Policy at enginestack.ai/privacy-policy.

AI-Generated Output

AI-generated outputs may be incomplete, inaccurate, or unsuitable for a particular purpose. You are responsible for reviewing all outputs before use and for any decisions or actions based on them. Engine Stack does not guarantee that AI outreach will result in leads, replies, conversions, or revenue, and our services are not a substitute for professional legal, financial, or compliance advice.

Intellectual Property

Engine Stack and its licensors retain all rights in the platform, software, AI models, workflows, interfaces, documentation, templates, and branding. We grant you a limited, non-exclusive, non-transferable, revocable license to use the services for your internal business purposes during your active subscription. This license ends immediately upon cancellation, suspension, or termination.

Confidentiality

Each party must protect the other’s non-public information using reasonable care and use it only to perform or receive the services. Confidentiality obligations do not apply to information that is publicly available, already lawfully known, independently developed, or lawfully received from a third party without restriction.

Third-Party Services

The services may connect with third-party platforms, APIs, channel providers, and infrastructure outside our control. Engine Stack is not responsible for third-party outages, policy changes, restrictions, or data practices. If a third-party provider restricts access due to your usage or content, Engine Stack is not liable for the disruption and no refund will be issued.

AI Avatar features may be powered in whole or in part by third-party AI models and infrastructure providers. Engine Stack is not responsible for changes, restrictions, discontinuation, or output limitations imposed by those providers.

Service Changes and Availability

We may modify, restrict, or discontinue features to improve security, comply with law, or develop the platform. We do not guarantee uninterrupted or error-free availability and will make reasonable efforts to notify customers of planned downtime.

Disclaimers

To the maximum extent permitted by law, the services are provided “as is” and “as available.” We disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not guarantee leads, replies, conversions, revenue, or third-party platform acceptance unless expressly stated in a separately signed agreement.

AI Avatar output is synthetic and approximate. Engine Stack does not guarantee visual, vocal, or behavioral accuracy to any real individual, and disclaims all liability for discrepancies between the AI Avatar and the actual person it is based on.

Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, revenue, goodwill, data, or business opportunities. Engine Stack’s total aggregate liability will not exceed the fees you paid during the three months preceding the event giving rise to the claim.

Indemnification

You will defend and indemnify Engine Stack and its personnel against third-party claims, losses, and reasonable costs arising from your data, outreach content, campaign execution, violation of third-party platform terms, violation of these Terms, infringement of another party’s rights, unauthorized use of any third party’s image, voice, likeness, or biometric data in an AI Avatar, or your failure to obtain the consents required above.

Suspension and Termination

We may suspend or terminate access for non-payment, security risk, unlawful conduct, material breach, conduct that may harm other users, third parties, or our systems, or suspected unauthorized use of an individual’s likeness or fraudulent or deceptive use of AI Avatar content. Upon termination, your right to use the services ends immediately, no refund will be issued. Provisions intended to survive termination will remain effective.

Changes to These Terms

We may update these Terms at any time. Material changes will be notified by email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.

Force Majeure

Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, civil unrest, labor disputes, power or internet failures, third-party platform outages, or government action. Payment obligations for services already provided are not excused.

Export Control and Sanctions

You confirm that you are not located in, and will not use the services on behalf of anyone located in, a country or entity subject to applicable trade sanctions or export restrictions. You agree to comply with all applicable export control and sanctions laws.

Restrictions

You may not reverse engineer, decompile, disassemble, or attempt to derive the source code, models, or underlying structure of the platform, except to the extent this restriction is prohibited by applicable law.

Governing Law and Disputes

These Terms are governed by the laws of the Republic of Indonesia. Disputes will first be addressed through good-faith discussion within 30 days of notice. If unresolved, disputes will be submitted to the competent courts of Indonesia, unless mandatory law requires otherwise.
